These Terms govern your use of our website and services. By accessing the site, requesting a quote, signing a proposal, or engaging our services, you agree to these Terms.
1) Services & Scope
We provide video production services, including pre-production, production, and post-production. The specific scope, timeline, deliverables, and pricing for a project are defined in a written estimate/proposal or statement of work (SOW). If there’s a conflict between the SOW and these Terms, the SOW controls for that project.
2) Quotes, Fees, & Payment
Quotes/Estimates: Valid for 30 days unless stated otherwise.
Booking Retainer: A non-refundable retainer (typically 50%) is required to reserve dates; applied to the final invoice.
Payment Terms: Unless stated otherwise in the SOW, balances are due Net 15 from invoice. Late balances may incur the lesser of 1.5% per month or the maximum allowed by law, plus reasonable collection costs.
Expenses: Client is responsible for approved pass-through costs (permits, locations, travel, rentals, licensed media).
Taxes: Prices exclude applicable taxes, which will be added where required.
3) Scheduling, Changes, & Cancellations
Rescheduling: We’ll accommodate date changes subject to availability. Additional costs caused by rescheduling (crew, rentals, locations) will be billed.
Cancellation: If you cancel after booking, the retainer is non-refundable, and you’re responsible for any non-recoverable costs already incurred.
Change Requests: Material changes to scope/timeline after approval may require a change order and updated fees/schedule.
4) Client Responsibilities
Access & Information: Provide timely access, information, brand assets, and approvals.
Permissions: You are responsible for obtaining any necessary permissions, releases, and clearances for people, products, and property you require us to capture, unless expressly included in the SOW.
Safety & Site Readiness: You agree to provide safe working conditions and to notify us of hazards or restrictions in advance.
5) Production Practices
Professional Judgment: On set, we may adjust schedule, shot list, and approach for safety, weather, or creative/technical reasons.
Aerial/Drone Work (if applicable): Operated in compliance with applicable laws (e.g., FAA Part 107). Operations are weather- and airspace-dependent and may be limited or cancelled for safety/legal reasons.
6) Approvals, Revisions, & Reshoots
Review Milestones: You’ll receive drafts at clearly defined checkpoints. Please consolidate feedback per round.
Included Revisions: Unless the SOW states otherwise, pricing includes up to two (2) rounds of editorial revisions per deliverable. Revisions beyond that, or revisions due to new scope, are billable.
Reshoots: Reshoots caused by our technical error are on us. Reshoots requested for creative changes beyond the approved plan, or due to factors outside our control (e.g., no-shows, location denial, weather after client approval to proceed), are billable.
7) Intellectual Property & Usage
Project Files & Raw Footage: Unless expressly assigned in the SOW, Ramhorn retains ownership of raw footage, project files, and working materials.
Deliverables License: Upon full payment, you receive a perpetual, worldwide, non-exclusive license to use the final delivered media for the uses and placements specified in the SOW (e.g., web, social, internal, broadcast). Additional uses require written permission and may incur licensing fees.
Third-Party Media: Music, fonts, stock, talent, and other licensed elements are subject to their own terms. We’ll acquire licenses per your intended use when included in scope; expanded use may require upgraded licensing.
8) Portfolio & Credits
We may display finished work (and non-sensitive behind-the-scenes) in our portfolio, website, and social channels, and for awards and sales, unless your SOW or a separate NDA states otherwise. Reasonable credit (“Ramhorn Films”) may appear in descriptions or metadata where customary.
9) Confidentiality
We keep your non-public business information confidential and use it only to perform the project, except where disclosure is required by law or you’ve approved it in writing.
10) Warranties & Disclaimers
You represent that materials you provide (logos, scripts, trademarks, products) do not infringe others’ rights and that you have authority to grant us the rights needed to complete the project.
Our services are provided “as is”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose.
11) Limitation of Liability
To the maximum extent permitted by law, Ramhorn’s total liability for any claim related to the project or these Terms is limited to the amount you paid us for the specific project giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages (including lost profits), even if advised of the possibility.
12) Indemnification
You agree to indemnify and hold Ramhorn (and our owners, employees, and subcontractors) harmless from claims, damages, and expenses arising from: (a) your breach of these Terms; (b) materials or instructions you provide; or (c) your use or distribution of the deliverables contrary to the SOW or applicable licenses.
13) Force Majeure
Neither party is liable for delays or failure to perform due to events beyond reasonable control (e.g., acts of God, severe weather, illness, labor disputes, government actions, utility failures). Each party will resume performance as soon as practicable. Client remains responsible for non-recoverable third-party costs.
14) Independent Contractor; Subcontractors
We operate as an independent contractor and may engage vetted subcontractors (crew, specialists) as needed. Nothing herein creates a partnership or employment relationship.
15) Records, Delivery, & Archiving
Delivery: We deliver files in the formats listed in the SOW via secure links.
Archiving: Unless stated otherwise, we maintain working files for 12 months and final deliverables for 36 months for client convenience; extended archival can be arranged.
16) Website Use
Use the site lawfully and do not attempt to disrupt or reverse-engineer site functionality. Third-party links and embeds are governed by their own terms and policies.
17) Privacy
Your use of the site is also governed by our Privacy Policy posted at ramhornfilms.com.
18) Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Arkansas, without regard to conflict-of-law rules. Before filing a claim, the parties will make good-faith efforts to resolve disputes informally within 30 days. Either party may pursue eligible claims in small claims court. Otherwise, venue lies in the state or federal courts located in Pope County, Arkansas, and the parties consent to personal jurisdiction there.
19) Changes to These Terms
We may update these Terms from time to time. The “Effective date” will reflect the latest version. Material changes will be posted on this page and apply going forward.
